1. Agreement to Terms
By accessing or using Catalyst (“the Service”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree to these Terms, you may not access or use the Service.
2. Description of Service
Catalyst provides a software-as-a-service platform that enables users to manage and collaborate on projects. We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time.
3. Account Registration
To use certain features of the Service, you must create an account. You agree to:
- Provide accurate, current, and complete information
- Maintain and update your information to keep it accurate
- Maintain the security of your account credentials
- Accept responsibility for all activities under your account
- Notify us immediately of any unauthorized access
You must be at least 13 years old (or 16 in the European Union) to create an account. You may not use another person's account without permission.
4. Acceptable Use
You agree NOT to use the Service to:
- Violate any laws or regulations
- Infringe on intellectual property rights
- Transmit harmful code (viruses, malware, etc.)
- Engage in unauthorized access or security breaches
- Harass, abuse, or harm others
- Distribute spam or unsolicited communications

5. User Content
Your Responsibilities

License to Us
By submitting User Content, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, adapt, publish, and display your User Content solely to provide and improve the Service. This license terminates when you delete your User Content or account, except where content has been shared with others.
Content Removal
We reserve the right to remove any User Content that violates these Terms or is otherwise objectionable, without notice.
6. Subscription and Payment
Pricing
Certain features require a paid subscription. All fees are exclusive of taxes unless otherwise stated. We reserve the right to change our pricing with 30 days' notice.
Billing
You will be billed in advance on a recurring basis (monthly or annually). Your subscription will automatically renew unless you cancel before the renewal date. Payments are non-refundable except as required by law.
Cancellation
You may cancel your subscription at any time. Cancellation will take effect at the end of your current billing period. You will retain access to paid features until the end of your billing period.
7. Intellectual Property
The Service and its original content (excluding User Content), features, and functionality are owned by Catalyst and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.
Our trademarks may not be used without our prior written permission. All other trademarks appearing on the Service are the property of their respective owners.
8. Privacy
Your use of the Service is subject to our Privacy Policy. Please review our Privacy Policy to understand how we collect, use, and protect your information.
9. Third-Party Services
The Service may integrate with or contain links to third-party services. We are not responsible for the content, privacy policies, or practices of third-party services. Your use of third-party services is at your own risk and subject to their terms.
10. Disclaimer of Warranties
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.
11. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, CATALYST SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES RESULTING FROM:
- Your use or inability to use the Service
- Any unauthorized access to or use of our servers
- Any interruption or cessation of the Service
- Any bugs, viruses, or other harmful code transmitted through the Service
- Any errors or omissions in any content
- Any loss of User Content
12. Indemnification
You agree to indemnify, defend, and hold harmless Catalyst, its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses arising out of or related to:
- Your use of the Service
- Your User Content
- Your violation of these Terms
- Your violation of any rights of another party
13. Termination
We may terminate or suspend your account and access to the Service immediately, without prior notice, for any reason, including if you breach these Terms. Upon termination, your right to use the Service will immediately cease.
All provisions of these Terms that by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, and limitations of liability.
14. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the United States, without regard to its conflict of law provisions. Any disputes arising from these Terms or the Service shall be resolved in the courts of the United States.
15. Dispute Resolution
If you have any concerns or disputes about the Service, you agree to first try to resolve the dispute informally by contacting us. We will attempt to resolve disputes in good faith.
16. Changes to Terms
We reserve the right to modify these Terms at any time. We will notify you of any changes by posting the new Terms on this page and updating the “Last updated” date. Your continued use of the Service after changes become effective constitutes acceptance of the revised Terms.
17. Severability
If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.
18. Entire Agreement
These Terms constitute the entire agreement between you and Catalyst regarding the Service and supersede any prior agreements.
